How much is one share of any joint stock company worth? How to find out how much a stock is worth if it is not listed on the stock exchange? But 90% of the shares of Russian issuers are not traded on the stock exchange.

We find out the market value of the shares ourselves.
We find out the market value of the shares ourselves.
1. How to roughly determine the value of shares?

The value of 1 share is equal to the market price of 100% of shares divided by the number of shares in the authorized capital.

This means that in order to find out the price of one share, we must know both of these indicators.

So, the indicator of the market value of 100% of shares can be accurately calculated only by a specialized appraiser who is a member of the SRO of appraisers and who has passed special training and passed the exam.

Everything else is an approximate calculation. So how do you make an approximate calculation of the cost of 100% of the shares?

Traditionally, there are two ways.

1 way. Business valuation at the price of net assets. I am a business valuation expert and have evaluated over 1000 companies. Of this 1000 joint-stock companies, there are not even 10 of which the market value would be less than the value of net assets. Therefore, looking at the value of net assets - you can be sure - with a probability of 99%, the price of the shares of this company is exactly not less than the value of net assets.
How to find out the size of net assets?

Accountants have a complicated formula, but you don't need it. Net assets are always the third section of the balance sheet. Form No. 1 of financial statements. line number 1300 (look at the last reporting year)

How to find financial statements to find out the amount of net assets?

If you need to find statements of OJSC or PJSC. What a score. We go to the website e-disclosure.ru

Go to the company search section

Search for a company to download financial statements.

We find the financial statements, and in it line 1300 -total under section three "Capital and reserves" - this is the amount of net assets.

Net assets of the company to determine market value.
Net assets of the company to determine market value.
Attention: from September 01, 2014, even companies named OJSC have the right not to disclose financial statements, provided that they have less than 50 shareholders. This is not a violation.

PJSC (public joint stock company - obliged to disclose accounting records in any case)

But the most interesting thing is that from the same September 01, 2014, all CJSCs and non-public JSCs, including JSCs that are not public, if they have more than 50 shareholders, must disclose financial statements.

So if your JSC has more than 50 shareholders, it must disclose financial statements.

Those. if you own shares, even a CJSC, but it has more than 50 shareholders, then such a JSC must also disclose statements in the news feed and you can safely demand this from the company.

Also, you can request a copy of the financial statements for any company at the local statistics department (statistical observation body) - there every JSC must submit a copy of the accounting records annually.

You can also get a copy of the reporting without going to statistics, but using any resource on the network, the price of such a service is 200-300 rubles.

By the way, every joint-stock company, both public and non-public, is obliged to disclose the amount of net assets on the website fedresurs.ru - if it does not disclose it, it violates the law.

we look like this:

Now that we know the value of net assets, we should simply divide this value by the number of shares in the authorized capital.

But how do you know the number of shares in the authorized capital? If you do not know the exact number of shares in the management company, go to the same site e-disclosure.ru, find the company, go to the "Documentation" section - then to the "charter and internal documents" section. We find the current edition of the charter, it contains the section "Authorized capital" - it displays the exact number of shares in the authorized capital.

Clarification of the number of shares in the authorized capital of the company.
Clarification of the number of shares in the authorized capital of the company.
Now, to find out the exact price of 1 share, we simply divide the amount of net assets by the number of shares in the authorized capital - we get the market value of one share, determined by the amount of net assets. Most likely, the real market value of 1 share is exactly no less than the value of net assets.

Method 2. (not scientific - but accurate). You will not find this method anywhere in the literature, because it is my own)

in 80% of cases, using such a formula, I get into the real market value of the business with a very high degree of probability.

this formula is very simple

remaining
The market value is equal to an average of 2 annual revenue plus 2 balance sheet currencies, and all this is divided by two.

For example, the company's revenue by years is 100 million, 150 million

balance sheet currency: 50 million, 100 million

then the market value will be: ((100 + 150) + (50 + 100)) / 2 = 200 million.

Perhaps this method will seem rather approximate to you, but it works great in a situation when you need to determine the market value of shares by eye in 3 minutes.

By the way, any assessment report that is mandatory by law must be disclosed in the Unified Federal Register of Information on the Facts of Legal Entities.
